Access to and use of our website and the sale and purchase of products through Learning SPACE are governed by the policies below.

1. Definitions

(1.1) The term "Buyer", "you" means the Account Applicant or person who buys or agrees to buy Goods from the Seller. (1.2) The term "Seller", "us", "we" means Learning SPACE. (1.3) "Conditions" means the Conditions of Sale set out in this document and any special conditions agreed in writing by the Seller.

2. Conditions

(2.1) These Terms and Conditions of Sale do not affect your statutory rights as a consumer. (2.2) All contracts of sale made by the Seller shall be deemed to incorporate these terms and conditions which shall prevail over any other document or communication from the Buyer. (2.3) If any amendments to these terms and conditions are required they must be confirmed in writing. (2.4) Acceptance of delivery of Goods shall be deemed conclusive evidence of the Buyers acceptance of these Conditions.

3. Description

Colours and styles may vary. Whilst we take every care to ensure illustrations and descriptions within the catalogue and website are accurate, we reserve the right to change specifications or improve our products. In the event of any substituted product not being acceptable, we will gladly issue a full refund, provided the goods in question are returned within 28 working days of delivery and in an as-new re-saleable condition. Prior authorisation is required.

4. Availability

(4.1) If an item is out of stock, we will inform the Buyer and endeavour to supply the item or an alternative as soon as possible. (4.2) On occasion goods will be discontinued for reasons beyond our control. We reserve the right to withdraw an item where a print error has occurred.

5. Age Suitability

(5.1) All products are unsuitable for children under 3 unless otherwise stated. (5.2) All age recommendations and suitability in this catalogue and on our site are a guide only.

6. Prices and Payment Terms

(6.1) Prices on catalogues and quotes are valid 3 months from issue. Please note prices online may vary. (6.2) We reserve the right to change our prices from time to time. If there is a change of price between receipt of order and dispatch, we will notify you and give you the option to cancel and receive a full refund. (6.5) In the case of consumer sales, payment must be made in full before dispatch of any Goods. (6.6) Approved Credit Terms Account holders: payment terms are 30 days after order dispatch. For new account holders, payment terms are prior to dispatch. For approved account holders on orders over 10,000 pounds: 50% prior to dispatch and 50% 30 days after dispatch. (6.12) We accept payment by all major credit cards. For non-invoice account holders items will only be dispatched when full payment has been received. (6.13) Late Payments: We reserve the right to charge interest on all overdue accounts at 5% above Bank of Ireland Ltd base rate. (6.14) Organisations - How to order on account: We are delighted to accept orders on account from limited companies, registered charities or public sector funded organisations. You can send your official purchase orders by email, phone, or by selecting the order on account button at checkout.

7. Value Added Tax

(7.1) Prices are quoted inclusive and exclusive of 20% VAT. (7.2) Some items qualify to be VAT free provided they are being purchased by or on behalf of someone who is chronically sick or disabled and the goods are for personal or domestic use. (7.3) Parents or carers of a child who is chronically sick or disabled purchasing an eligible product will not need to pay VAT on that product. (7.4) Please note that VAT must be charged on delivery. (7.5) Charities qualify for VAT exemption where these conditions are met. Schools may not qualify as goods are not for domestic use. We can only offer VAT exemption on certain eligible products when being purchased solely for an individual user. All items that are eligible for vat relief are clearly given a vat exempt purchase option on our website. A UK charity can buy sensory equipment without paying VAT, but only if the equipment is specifically designed for disabled people and is for their personal or domestic use. The item has to be purchased for a named individual, not multiple users and a Vat exemption form must be completed with the intended users personal details for the HMRC. (our site takes you to the form upon purchase) A charity cannot claim VAT exemption if: The sensory equipment is not specifically designed for disabled people (e.g., generic lights, beanbags, toys). The equipment is for general use, education, or therapy rooms rather than for a named disabled person’s personal/domestic use. The charity cannot provide the required declaration. Charities may be able to claim VAT back by other means such as through their accounts, however we cannot do this at source or provide guidance. Our process is in line with Section 3.3 of HMRC VAT Notice 701/7 – Reliefs from VAT for disabled and older people. (7.6) Goods sold at 0% VAT can only be released if a declaration form has been completed. (7.7) It is an offence to make a false VAT declaration.

8. Title of Goods

Ownership (title) of the goods only passes to the Buyer on full payment of the appropriate invoice.

9. Returns Policy

(9.1) In the unlikely event you are not satisfied please contact us via info@learningspace.co.uk or phone 02890 319360. Please do not attempt to return any goods without prior authorisation. Any returned goods must be received within 28 days of receipt. (9.2) Refunds may take up to 28 days from the date the returned item is received by us. (9.4a) Unwanted items: We are happy to exchange or refund most unwanted items ordered in error if returned within 28 days, provided the goods are unused, in re-saleable condition, in original packaging, a RAN (Return Autorisation Number) is given and proof of purchase is provided. This does not apply to bespoke, made to order, personalised, sensory room installations or specially ordered items. (9.5a) Faulty Items: In the unlikely event that a product is faulty we are happy to exchange or refund merchandise if returned within 28 days with a valid RAN and proof of purchase. (9.6) All products are covered by a 1-year warranty against manufacturing faults unless otherwise specified.

10. Cancellation of Orders

(10.1) The Buyer has the right to cancel the contract before items have been sent and will receive a full refund. (10.2) If items have been dispatched the Buyer will incur any delivery costs and restocking fees that may apply. (10.3a) Cancellation is not applicable on bespoke items, made to order, personalised, sensory room installations or specially ordered items except with our written agreement. (10.3b) If goods are not procured or manufactured: 0% cancellation charge. (10.3c) If raw materials have been procured but goods not manufactured: 40% of ex VAT order value. (10.3d) If goods have been manufactured but not dispatched: 75% of ex VAT order value. (10.3e) If goods have been dispatched: 100% of ex VAT order value.

11. Delivery

(11.1) Mainland UK and Northern Ireland: 5.99 pounds under 50 pound order, free over 50 pounds. Furniture, large play equipment and heavy items may incur an additional delivery charge. If this is the case you will be contacted prior to processing. (11.2) Outside Mainland UK: Postage is subject to quotation. We will contact you with the delivery cost.

12. Terms for Delivery

(12.1) All products are sent by courier or Royal Mail. (12.2) For express delivery contact the seller for costs and availability. (12.3) The Buyer bears the risk once products have been received signed for/delivered. (12.4) Learning SPACE accepts no liability for any loss, damages or expenses arising from late delivery. (12.5) It is our policy to try to fulfil standard delivery orders within seven working days. (12.6) Some items may take up to 14-21 days to deliver. (12.7) Items that are bespoke or made to order can take up to 6-8 weeks.

13. Passing of Property

The risk in the goods supplied shall pass to the Buyer on delivery. Learning SPACE shall be under no liability for any loss or damage occurring thereafter.

14. Notice of Damage / Missing Orders

(14.1) When requested, deliveries must be signed for. Ensure the correct box quantity is stated and record any box damages or discrepancies. (14.2) If goods are damaged or incorrectly delivered you must notify the seller within 5 working days of the date of delivery. (14.3) Online orders will be notified of dispatch. If you do not receive goods within 7 days of notification, contact the seller. (14.4) Do not attempt to return any goods without prior authorisation and a relevant reference number. (14.5) Refused Delivery: Learning SPACE reserves the right to make a carriage charge plus 20% handling charge (minimum 10 pounds) on all consignments refused without reason.

15. Design and Installation

(15.1) The Sellers design service is free of charge and offered at the discretion of the Seller. The design is an artist's impression and is not to scale. (15.2) Failure to have an area suitably ready for installation by the agreed date will result in extra charges at 25 pounds per hour. (15.3) The Buyer must provide a 240v power supply, running water, a secure parking space, adequate lighting and any other reasonable requests to allow a safe installation.

16. Force Majeure

Learning SPACE shall not be liable for failure to perform or delay in performing any contractual obligations when caused by circumstances beyond their reasonable control.

17. No Waiver

The Seller's failure to insist upon strict performance of any provision of these Conditions shall not be deemed a waiver of its rights or remedies in respect of any present or future default of the Buyer.

18. Liability

(18.1) Except as may be implied by law where the Buyer is dealing as a consumer, the remedies of the Buyer shall be limited to damages which shall in no circumstances exceed the price of the Goods. (18.2) Except for death or personal injury which arises directly from the negligence of the Seller, neither the Seller nor its employees shall be liable for any loss, damage or injury of any kind whatsoever.

19. Copyright

The design, specification or illustration of any goods, and the copyright of all marketing material supplied, are the property of the Seller or the copyright holder. The Buyer shall have no right to use such design for the benefit of any third party without prior written consent.

20. Complaints

(20.1) If you have a complaint about our service or any goods or services please contact us immediately. You will be contacted as soon as possible and within 24 working hours. (20.2) All complaints will be dealt with in a fair and confidential manner.

21. Miscellaneous

(21.1) Where the Seller supplies computer equipment, it is recommended that all data is frequently backed up. (21.2) Any contracts shall in all respects be construed and operate as a UK contract and in conformity with UK law. (21.3) If any part of these terms and conditions that is not fundamental is found to be illegal or unenforceable, such finding will not affect the validity or enforceability of the remainder.
